1. Acceptance of Terms

Welcome to NUDINN, a preventive financial health management platform with Artificial Intelligence, owned and operated by RICARDO ***** - ME, registered under CNPJ No. 16.***.***/0001-80.

These Terms of Use ("Terms") establish the general conditions applicable to the use of the NUDINN platform, including website, mobile applications, and all related services (collectively, "Platform" or "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any provision, do not use the Platform.

We recommend carefully reading these Terms along with ourPrivacy Policy and Securityand Data Protection documents.

2. Description of Services

NUDINN offers a personal financial management platform with the following main features:

• Financial Monitoring: Recording and tracking of income, expenses, bills, and transactions
• Balance Projection: Predictive analysis of future balance based on patterns and provided data
• Preventive Alerts: Advance notifications (up to 5 days) about possible financial imbalances
• Artificial Intelligence: Virtual assistant offering personalized recommendations for financial optimization
• Reports and Charts: Interactive visualizations of financial health
• Risk Indicator: Analysis of financial risk level (low, medium, high)

Important: NUDINN is a personal financial organization and analysis tool. We are not a financial institution, brokerage, investment advisory, or regulated financial services provider. We do not offer loans, financing, investments, or banking services.

3. Eligibility and Registration

3.1. Requirements

To use NUDINN, you must:

• Be at least 18 years old with full legal capacity
• Reside in Brazil or a country where our services are available
• Provide true, current, and complete information during registration
• Maintain confidentiality of your password and access credentials
• Comply with these Terms and all applicable laws

3.2. User Account

By creating an account, you are responsible for all activities performed under your credentials. Notify us immediately of any unauthorized use of your account at suporte@nudinn.com.

We reserve the right to refuse, suspend, or terminate accounts at our sole discretion, especially in cases of violation of these Terms, fraudulent activities, or inappropriate behavior.

4. Plans and Payment

4.1. Available Plans

We offer different subscription plans:

• Free Plan: Basic features with limited functionality
• Premium Plan: Full access to all features, unlimited alerts, and priority support

4.2. Billing and Renewal

• Premium subscriptions are billed recurringly (monthly, quarterly, or annually) according to the chosen plan
• Payments are automatically processed on the renewal date through our secure gateway (Stripe)
• Renewal is automatic unless canceled in advance by the user
• We do not store complete credit card data (tokenized by payment processor)
• All prices include applicable Brazilian taxes

4.3. Price Changes

We reserve the right to change plan prices with 30 days' advance notice. Changes do not affect the current billing cycle, applying only after renewal.

4.4. Refund Policy

• 7-day guarantee: New Premium subscribers can request full refund within 7 days of first charge
• Cancellation after guarantee period: We do not offer prorated refunds. Service remains active until end of paid period
• Improper charges: Analyzed case by case. Contact suporte@nudinn.com

4.5. Default

Payment failures may result in automatic downgrade to free plan or account suspension. We reserve the right to terminate accounts with default exceeding 30 days.

5. Cancellation and Termination

5.1. Cancellation by User

You can cancel your Premium subscription at any time through account settings. Cancellation takes effect at the end of the current billing period (no prorated refund).

You can request complete deletion of your account and data at privacidade@nudinn.com, as guaranteed by your LGPD rights.

5.2. Termination by NUDINN

We may suspend or terminate your account immediately, without prior notice, in cases of:

• Violation of these Terms or any applicable law
• Fraudulent or abusive use of the Platform
• Activities compromising security, integrity, or availability of Services
• Providing false or misleading information
• Prolonged default

In case of termination by us due to violations, there will be no refund of paid amounts.

6. User Responsibilities

6.1. Proper Use

You agree to use the Platform only for legitimate purposes and in accordance with these Terms. It is PROHIBITED:

• Violate local, national, or international laws
• Transmit illegal, defamatory, abusive, obscene, discriminatory, or harmful content
• Attempt to access, hack, or compromise Platform security
• Reverse engineer, decompile, or extract source code
• Use bots, scripts, crawlers, or unauthorized automated tools
• Intentionally overload servers or interfere with Platform operation
• Create fake or multiple accounts to abuse promotions
• Share or resell access to your account
• Collect data from other users without authorization

6.2. Accuracy of Information

You are responsible for the accuracy and truthfulness of financial information entered on the Platform. The quality of projections, alerts, and recommendations directly depends on data accuracy.

NUDINN is not responsible for losses resulting from incorrect, incomplete, or outdated information provided by the user.

6.3. Account Security

You are responsible for:

• Maintaining confidentiality of your access credentials
• Using strong and unique passwords
• Not sharing your password with third parties
• Immediately reporting unauthorized access
• Logging out when using shared or public devices

7. Limitations and Disclaimers

7.1. Nature of Services

NUDINN is a personal financial management support tool. Projections, alerts, and recommendations generated by the platform are based on algorithms and Artificial Intelligence butdo not constitute professional financial, accounting, tax, or legal advice.

We recommend consulting specialized professionals for important financial decisions.

7.2. Information Accuracy

While we strive to provide accurate analyses, we do not guarantee that projections, forecasts, or alerts will be 100% accurate. Unforeseen variables, behavioral changes, and external events may affect result accuracy.

You are solely responsible for your financial decisions.

7.3. Service Availability

While we seek to maintain the Platform available 24/7, we do not guarantee uninterrupted availability. We may perform scheduled maintenance, updates, or face technical interruptions. We are not responsible for temporary unavailability or resulting loss of profits.

7.4. Third-Party Content

The Platform may contain links to third-party sites or integration with external services. We are not responsible for the content, privacy policies, or practices of these third parties. Access to external sites is at your own risk.

7.5. Limitation of Liability

To the maximum extent permitted by Brazilian law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, including (but not limited to):

• Loss of profits, revenue, or savings
• Loss of data or information
• Business interruption
• Moral or reputational damages

Our total liability, in any case, will be limited to the amount you paid in the last 12 months of subscription.

Note: This limitation does not apply to cases of willful misconduct (intentional bad faith) or violations of fundamental rights guaranteed by the Consumer Protection Code (CDC) and other mandatory Brazilian laws.

8. Intellectual Property

8.1. NUDINN's Rights

All intellectual property rights related to the Platform, including (but not limited to) source code, design, logos, trademarks, texts, graphics, AI algorithms, database, and functionalities, are the exclusive property of RICARDO ***** - ME.

Use of the Platform does not grant you any intellectual property rights. Only a limited, non-exclusive, non-transferable, and revocable license for personal use of Services is granted.

8.2. User Rights over Their Data

You retain all rights to financial data and personal information you enter on the Platform. By using our Services, you grant us a limited license to process, store, and analyze this data exclusively for providing contracted services.

9. Privacy and Data Protection

We are committed to protecting your personal data in compliance with the General Data Protection Law (LGPD - Law No. 13.709/2018).

Our Privacy Policy describes in detail how we collect, use, store, and protect your data. By using the Platform, you agree to our privacy practices.

10. Changes to Terms

We reserve the right to modify these Terms of Use at any time. Changes take effect immediately after publication on this page.

Substantial modifications will be communicated by email or prominent notice on the Platform with at least 15 days' advance notice. Continued use of Services after changes constitutes acceptance of new terms.

If you do not agree with modifications, you must immediately discontinue Platform use and, if desired, cancel your account.

11. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the Federative Republic of Brazil, especially including:

• General Data Protection Law (Law No. 13.709/2018 - LGPD)
• Marco Civil da Internet (Law No. 12.965/2014)
• Consumer Protection Code (Law No. 8.078/1990 - CDC)
• Brazilian Civil Code (Law No. 10.406/2002)

The courts of [Company City/State] have exclusive jurisdiction over any disputes arising from these Terms, with express waiver of any other, however privileged.

Consumers may choose their domicile jurisdiction, as guaranteed by the Consumer Protection Code (Art. 101, I).

12. General Provisions

12.1. Entire Agreement

These Terms, together with the Privacy Policy and other legal documents incorporated by reference, constitute the entire agreement between you and RICARDO ***** - ME regarding use of the Platform.

12.2. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3. No Waiver

Failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

12.4. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to any affiliate or successor.

12.5. Electronic Communications

By using the Platform, you agree to receive electronic communications. All electronic communications, agreements, notices, and disclosures satisfy legal requirements for written form.
